End User License Agreement

1. License grant

This End User License Agreement ("EULA") applies when 300 Technologies LLC ("Licensor") licenses software, agent skills, dashboards, connectors, or related tooling (the "Software") to you ("Licensee") under a proposal, statement of work, subscription, or other written order (an "Order").

Subject to this EULA and the Order, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for Licensee's internal business purposes, in the quantities and environments described in the Order.

2. What this does not cover

This EULA does not license third-party or open-source components except as their own licenses require. Open-source attributions for publicly documented stack components appear on our Attributions page. Public marketing pages on www.300tech.cloud are governed by the Terms of Use, not this EULA.

3. Restrictions

Except as expressly permitted by the Order or applicable open-source licenses, Licensee will not:

• Copy, modify, or create derivative works of the Software.
• Reverse engineer, decompile, or attempt to extract source code, except to the extent such restriction is prohibited by law.
• Rent, lease, sell, sublicense, or provide the Software as a service to third parties.
• Remove proprietary notices, license headers, or attribution required by included open-source components.
• Use the Software to build a competing product using Licensor's non-public designs, prompts, or connector logic.
• Circumvent usage limits, authentication, or access controls in the Software.

4. Ownership

Licensor and its licensors retain all right, title, and interest in the Software, including updates and documentation. Licensee retains ownership of its own data and content processed by the Software ("Customer Data"). Licensor does not claim ownership of Customer Data.

5. Customer Data & local-first operation

Where the Software is configured for local-first or on-premises operation, Customer Data may remain on Licensee-controlled systems. Cloud-hosted components (if any) process Customer Data only as needed to provide the licensed service, as described in the Data Security Policy and the Order.

Licensee is responsible for lawful collection and use of Customer Data, including any notices or consents required for end users of Licensee's own products.

6. Support & updates

Support levels, update cadence, and service commitments are defined in the Order. Licensor may provide patches and version updates; continued use of updates is subject to this EULA unless accompanied by different terms.

7. Term & termination

This EULA remains in effect for the term stated in the Order. Either party may terminate for material breach if the breach remains uncured thirty (30) days after written notice. Upon termination, Licensee must stop using the Software and destroy or return confidential copies, except for archival copies required by law.

8. Warranty disclaimer

Except as expressly stated in the Order, the Software is provided "as is." Licensor disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Agent and AI-assisted features may produce incorrect or incomplete outputs; Licensee remains responsible for reviewing automated actions before relying on them in production.

9. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Licensor's total liability under this EULA will not exceed the fees paid by Licensee to Licensor for the Software in the twelve (12) months preceding the claim, unless the Order states a different cap.

10. Governing law

Unless the Order states otherwise, this EULA is governed by the laws of the State of Indiana, excluding conflict-of-law rules. Exclusive venue for disputes lies in state or federal courts located in Indiana, except that Licensor may seek injunctive relief in any jurisdiction.
